  • Demo shows how users select token, network, revocable status, time for vesting, etc. for clean UI of allowing token vesting
  • Receivers of tokens can choose to delegate voting rights to a different wallet address
  • Goal is to have people with 2 or 3 years of token vesting participate with full amount of tokens in governance

4. Update on Bylaws RFP

  • @KarelLemma, representing Lemma Solutions 3, has been selected as the party who will help draft the ENS DAO Bylaws
  • Firm has been working in the space for 3 years
  • Timeline: Will conduct a gap analysis, create first draft for feedback for socialization, create second draft based on feedback, then share that draft for community feedback
  • The Bylaws will be made available for review and comment in advance of a social vote that will propose their adoption, will take a few weeks until first round of social feedback is ready for review

Endowment surpassed $80M for first time due to market increasing, primarily ETH

ENS Brand allows us to approach protocols for special investment opportunities, (e.g. reduced fees) focus is always on risk management and alignment to ENS values

1. Update on Bylaws RFP

Author Selection Process
Recevied applications from law firms and non-law firms. Reviewed examples provided by the applicants and selected what we believed was the best one.

Why go with non-law firm?
Two finalists were Lemma Solutions and law firm. Decision came down to fact that Lemma has provided DAO bylaws previously where law firm did not have that experience. Also, DAO was asking for a fixed fee and law firm was asking for hourly billing even though the RFP stated that ENS wanted a fixed fee.

Next Steps
Lemma Solutions currently working on a draft. Draft will be available for public review and comment.

Discussion: ENS Punks spoke about bylaws being a legal document, and how selecting a non-law firm was a confusing choice. ENS Punks made recommendations for improving the process and bringing more transparency and clarity to processes in the future.

2. Discussion on DAO Conflicts of Interest
Spike Watanabe requested technical discussion around how the DAO should consider handling conflicts of interest

Spike: If a steward is also a stream provider, conflict exists as steward would want future service provider initiatives to be super competitive where a stream provider wouldn’t.

Avsa.eth: Believe abstaining from every and all decision around service providers is enough. Learning exercise and should consider including in the bylaws.

5pence.eth: Thanks for bringing issue up, want to be ethically focused. Stewards can’t make decisions unilaterally, have to have buy-in from other stewards.


3. Eth Denver Updates - participation and plans

Will have booth and expect it to be very busy.


4. Open Discussion

Forum is paid for by the DAO and is a lively place for discussion. However, @5pence.eth gets complaints around forum not being policed, asked for thoughts around moderating. Please continue to think on this issue.

@estmcmxci believes in freedom of expression but thinks should be some moderating

@184.eth states that harassment not tolerated, policing needed in that instance. Is a moderator and currently moderates around structure

@coltron.eth wants forum to uphold a standard and believes conversation that lowers that standard looks poorly upon the DAO

ENS Punks: Conflict resolution is an important skill and constitution should incorporate how to achieve conflict resolution within the DAO including via the Forum

3. Klaus Bravenboer from Hack Hummanity

  • Wanted to create hackathons for more than just technical people, talent exists outside of developers
  • Have run 11 hackathons for numerous different types of organizations, also have background in brand design

  • Create challenge statements to rally hackathon participants around solving problems
  • Ran 3 day hack during EthDenver to ship governance proposals for Arbitrum, goal was to drive trust and innovation across Arbitrum ecosystem

  • Received high NPS scores, participants really enjoyed!

  • @avsa.eth: How get new people to engage and understand ENS DAO? Engage in voting, understand grants etc.? These are the biggest issues IMO

  • Funding proposal did not reach quorum: Snapshot
  • Not in emergency situation as plan for the future and prepared
  • Possible path for next voting in April, break voting into separate issues (from @avsa)

  • Push-back primarily around amount requested in budget for steward comp
  • DAO Rules state that rules can be changed at any time
  • Eduardo: Need policy around when changes apply, so can’t retroactively affect people’s income, swaying governance as a result of 7 people’s opinion feels weird
  • ENS Punks: Proposals should have an effective date. (e.g. term 5 or term 6), recommend take conservative approach and not materially alter policy
  • James:
    • Multi-choice approval voting not a good way to do voting
    • Have 9 months for compensation conversation for next term (shouldn’t be in terms of strict token amount, should consider price of ENS token)
    • Have to rush as budget didn’t pass (issue of token voting is that 7 people can influence the direction of a vote)
    • Given last compensation conversation was reasonable rushed and not a by-law, reasonable to have this conversation
  • Lively discussion around how/when/why compensation can be changed/updated, especially as price of ENS fluctuates and stewards are making $200k-$300k in compensation
    • Have 9 months to figure out sticky compensation issues
    • Working Group will figure out best way to bring funding to another vote

  • Problem: Gas costs friction to onchain voting for DAOs, want a way for DAO to subsidize these costs
  • Solution uses account abstraction with smart wallets
  • No centralized services to maintain, only action is periodically “refilling” the Paymaster
  • Only pays for specific function calls
  • Can limit gas costs: Only pay for gas when gas below a certain threshold

  • Working on new roles modifier, tool to manage endownment in non-custodial way
    • Ability to audit what’s changing will be more straight forward (code doing what says is doing) through UI
      • Testing going great
      • Tentatively bring to vote 1 May
  • Working on analysis to show how growing endownment so the endownment is self-sustainable and covering all costs for the DAO
    • From an ops perspective the executable votes would be the same, but funds would come from the Endowment instead of the DAO Wallet

Research Into Governance Risks (@avsa)

  • Over time amount of delegated power has been decreasing despite same number of delegates, need to increase amount of delegated tokens
  • Anyone who closely watches Agora or Tally will have noticed a new ‘delegate’ shooting to the top of the delegate list, veto.ensdao.eth, presently holding over 3.8M delegated tokens. Please don’t be alarmed - this isn’t a governance attack, in fact it’s quite the reverse
  • @avsa recently disclosed to a small group of delegates the existence and practicality of highly concerning governance attacks that could be used to target DAOs including the ENS DAO. Given the viability of these attacks (has happened before!) and the urgency with which they need to be addressed, @nick.eth devised a simple contract that makes it possible for a small group of trusted DAO participants to exercise a large number of “no” votes to veto proposals that risk the integrity of the ENS DAO. To put some weight behind this, ENS Labs has delegated all of its ENS tokens - most of which are being held on behalf of Labs staff - to this account
  • This contract only permits individuals who have been granted permission to use it, it only allows them to vote “no”, and before exercising this power, individuals must agree to a pledge to only use this power to veto proposals that constitute a governance attack on the DAO, or would violate the ENS constitution

Next Steps

  • Need to make sure safer in the mid-term: [Temp Check] Enable CANCEL role on the DAO
  • Proposal for an executable that would grant the role of Canceller to a multisig, controlled by the same people that currently hold the Veto power. This would be a multisig of at least 2 accounts. We take this very seriously and understand that once this multisig has such power it’s hard to reverse it since they can veto any attempt to remove it. In order to have a balance of power the members would sign a pledge to only use the cancel power in an event of an attack or to protect the spirit of the constitution and we are open to discussion on any other measures that can be enacted

Other preventive measures to protect from the attack

  • The profitability of such attack is simply calculated by the amount of total assets in the DAO / (amount of delegated tokens * price of ENS tokens). So any attempt to improve the situation would have to change one of the factors:
    • Assets: The DAO should consider ways to protect the Endowment from any single transaction that takes over. This isn’t as simple as it appears.
    • Delegated tokens: the Metagovernance group has been considering ways to improve the amount of active delegates and will continue to propose new methods of both direct ENS distribution and ENS delegation.
    • Token price: while the DAO’s responsibility is to the ENS system and not the token, it would be healthy if there were ways in which the value of ENS was more tied to the amount of values in it’s management and the present and future revenue of the name system

3. Open Discussion

  • Discussion around upgrading the governance contract, will bring to the agenda next week

  • Next week will have spending report for all the Working Groups
